WEBSITE LEASE AGREEMENT

1. WEBSITE LEASE
This is a website lease. In this website lease, the Client agrees to lease a custom built website for 3 years. There is no early termination fee, however, should a client leave prior to fulfilling the lease agreement of 3 years, the website will remain the property of Sonix Studio unless the client pays the buy out fees as detailed below. Should the buy out fees be paid, Sonix Studio will package up the website files and data and deliver it to the client at no expense to Client.

2. WHAT'S A PAGE?
Sonix Studio's lease includes building "x" number of pages for the Client.

  • Product Information
  • Photo Gallery
  • Video Content
  • Video Gallery
  • Blog
  • News Page
  • Small Custom Form (10 elements or less)
  • Google Maps
  • Site Map
  • Image Slideshow
  • Podcast
  • IFRAME
  • Calendar
  • Landing Page

A Page Does not include...

  • custom programming
  • Integration to any 3rd party services, unless provided below
  • Ecommerce Pages

3. CONTENT
Client is responsible for providing all content for their website. Depending on your product selection, Sonix Studio may purchase a number of Stock Photos to be use on Client's website. All other photos must be provided by the Client.

4. WEBSITE INTEGRATIONS
Sonix Studio can, at no additional cost, integrate to these 3rd party applications. This list can change at any time

  • Mail Chimp
  • Constant Contact

5. WEBSITE MAINTENANCE AND SUPPORT
Sonix Studio will continue to support the website as long as monthly lease payments are being made. Support may include answering quests from the Client, helping with adding content to the website, making small adjustments to photos, and educating the Client on how to use the CMS.
Support does NOT include any new features for the website, particularly in regards to custom development. At the sole discretion of Sonix Studio, Sonix Studio may include new features at no cost.

6. WEBSITE SECURITY
Sonix Studio will offer the most concise security resource on the web for the security of their website[s].

7. FREE UPGRADE
Every 3 years the Client has the option to upgrade. To trigger the option, the Client must submit a request to upgrade the website. An upgrade request is valid after 36 payments have been made after either an initial website build or after an upgrade has been complete.

8. LEASE BUY OUT
A lease can be bought out by the Client. The buyout amount is the monthly rate of lease times the number of months left until 36 payments are made after the website is initially built or upgraded.
Example: The buyout price on a $95/month lease, when 12 monthly payments were made would be 24 X $95 = $2,280
Until such buyout is made, the website is the property of Sonix Studio.

9. UPTIME GUARANTEE.
If your website server has a physical downtime that falls short of the 99.9% uptime guarantee, you may receive one (1) month of credit on your account. This uptime guarantee does not apply to planned maintenance. Approval of any credit is at the sole discretion of Sonix Studio and may be dependent upon the justification provided. Third party monitoring service reports may not be used for justification due to a variety of factors including the monitor's network capacity/transit availability. The uptime of the server is defined as the reported uptime from the operating system and the Apache Web Server which may differ from the uptime reported by other individual services. To request a credit, please visit http://support.sonixstudio.com to create a support ticket to our Billing department with justification [within thirty (30) days of the end of the month for which you are requesting a credit].

10. BACKUPS AND DATA LOSS

Your use of the Services is at your sole risk. Host's backup service runs once a week and overwrites any of our previous backups. Only one week of backups are kept at a time. This service is provided only to shared and reseller accounts as a courtesy and may be modified or terminated at any time at Host's sole discretion. Host does not maintain backups of dedicated accounts. Host is not responsible for files and/or data residing on your account. You agree to take full responsibility for all files and data transferred and to maintain all appropriate backup of files and data stored on Host's servers.

11. ACCESS TO SERVER
Security is of utmost importance to us. Therefore, no clients will be given CPanel or FTP information to access their website files.

12. DISCLAIMER

Host shall not be responsible for any damages your business may suffer. Host makes no warranties of any kind, expressed or implied for the Services. Host disclaims any warranty of merchantability or fitness for a particular purpose, including loss of data resulting from delays, delivery failures, wrong deliveries, and any and all service interruptions caused by Host or our employees.
